Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FineLearn websites, FineLearn Studio, FineLearn Hire and related services (together, the "Services") provided by FineLearn LLC ("FineLearn", "we", "us"). By using the Services, or by accepting an order form that references these Terms, you agree to them on behalf of yourself or the organization you represent ("Customer", "you").

If you have signed a separate master subscription agreement or order form with FineLearn, that agreement controls where it conflicts with these Terms.

1. The Services

FineLearn Studio lets organizations create, deliver and report on training, including AI-assisted course creation, AI presenters and voices, templates, assignments and analytics. FineLearn Hire lets organizations publish careers sites on their own domains, receive applications and review candidates with AI-assisted profiling and matching. Features may vary by plan and may change as we improve the Services.

3. Subscriptions, fees and payment

Fees, subscription terms and usage limits are set out in your order form or plan. Unless stated otherwise, fees are billed in advance, are non-refundable and exclude taxes, which you are responsible for. Subscriptions renew for the same term unless either party gives notice of non-renewal before the end of the current term. We may suspend the Services for undisputed amounts that remain unpaid 30 days after notice. Billing questions: billing@finelearn.ai.

4. Customer data

"Customer Data" means content and information that you or your users submit to the Services, including documents, courses, employee and learner records, job postings and candidate applications. As between the parties, you own Customer Data. You grant FineLearn a limited licence to host, process and display Customer Data only to provide, secure and support the Services and as described in our Privacy Policy and any data processing agreement between us. You are responsible for having the rights, notices and consents needed to submit Customer Data, including personal data of employees and candidates.

6. Acceptable use

You and your users must follow our Acceptable Use Policy. We may suspend access that violates it or threatens the security or integrity of the Services, and will notify you where practical.

7. Intellectual property

FineLearn and its licensors own the Services, including software, AI presenters, voices, templates and documentation. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Services during your subscription for your internal business purposes. Courses and careers sites you create belong to you, except for the underlying FineLearn components, which you may use only through the Services. If you send us feedback, we may use it without obligation.

8. Third-party services

The Services can connect to third-party products such as identity providers, HR systems, collaboration tools and job boards. Your use of those products is governed by their own terms, and FineLearn is not responsible for them.

9. Confidentiality

Each party will protect the other's confidential information with at least reasonable care, use it only to perform under these Terms and disclose it only to people who need to know it and are bound by similar obligations.

10. Security

We maintain administrative, technical and physical safeguards designed to protect Customer Data, and FineLearn is SOC 2 Type II certified. A copy of our current report is available to customers and prospects on request under a confidentiality agreement.

11. Warranties and disclaimers

We warrant that the Services will perform materially as described in their documentation during your subscription. Except as expressly stated, the Services are provided "as is" and FineLearn disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law.

12. Limitation of liability

To the extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party's total liability arising out of these Terms is limited to the fees paid or payable by Customer to FineLearn in the 12 months before the event giving rise to the claim. These limits do not apply to a party's indemnification obligations, breach of confidentiality, or Customer's payment obligations.

13. Indemnification

FineLearn will defend Customer against third-party claims alleging that the Services infringe that party's intellectual property rights, and pay resulting damages finally awarded. Customer will defend FineLearn against third-party claims arising from Customer Data or Customer's use of the Services in breach of these Terms or applicable law, including employment decisions.

14. Term and termination

These Terms apply while you use the Services. Either party may terminate a subscription for a material breach not cured within 30 days of notice. On termination, your right to use the Services ends and, on request made within 30 days, we will make Customer Data available for export before deleting it in line with our retention practices.

15. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give reasonable notice, for example by email or in the product. Continued use after a change takes effect means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah, without regard to conflict of law rules, and the courts of Sharjah have exclusive jurisdiction, unless your order form says otherwise.

17. Website content and demonstration materials

Product screenshots, sample courses, dashboards, reports, careers sites, candidate profiles and other examples shown on our websites and in marketing materials represent a fictional demonstration company (for example "Northwind" or "Acme") and fictional people. Names, figures and data shown are examples only and do not describe real customers, employees or candidates. Images of people are illustrative and may be generated. Any resemblance to real persons or organizations is coincidental. Third-party names and trademarks shown in connection with integrations belong to their respective owners and do not imply endorsement.
